Important: The T&C's mentioned below are based on a standard project and contract. Actual Terms of Services may vary depending on the specific nature of the project. We encourage our clients to discuss these terms and ensure they are included in the contract proposal documents.

1. Acceptance of Terms:

Acceptance of Terms By accessing or using the services provided by W3 Dream Solutions ("we," "us," or "our"), you agree to comply with these Terms, along with our Privacy Policy and any additional terms and conditions that may apply. If you do not agree to these Terms, you may not use our services.

2. Payment & Billings:

A. Service/Custom Development: W3 Dream Solutions has specific payment policies that vary depending on the type of product or service. For service or custom development, the project cost is determined based on manpower and effort, following which a formal proposal or quotation is shared with the client. Upon mutual acceptance of the proposal, an advance payment of approximately 50% is required before work commences. The balance payment is due at the time of project hosting, launching, or deployment. Alternatively, the payment may be divided into installments as per mutual agreement. All payment terms, installments, and timelines must be clearly outlined in the contract proposal/agreement and accepted by both parties. 2.B. Readymade Product/Application/Website: W3 Dream Solutions offers a range of readymade products, applications, and websites with fixed costs or subscription-based pricing. Specific product terms and policies apply. Clients can access this information via the respective product pages or by contacting management or the director for clarification.

3. Maintenance:

3.A. Maintenance Duration: Support and maintenance services, updates, versions, or new releases must be governed by a separate agreement. During the new contract/project phase, free maintenance is provided for a specific duration. The maintenance period begins on the date the project is hosted, delivered, or launched on the client’s domain, server, or local server. This also includes the delivery of the soft copy of the project/product. 3.B. Maintenance Charges: Maintenance charges are determined during project discussions and may be included within the project cost or separately listed. Maintenance costs for custom projects may vary depending on the previous year’s work. These charges are payable in advance, and any applicable taxes are charged as per the law. 3.C. Maintenance Work: Maintenance covers the resolution of issues, bugs, or technical problems within the existing developed code or design. Any additional functions, developments, or assignments not discussed in the initial proposal will be treated as additional development and will incur extra charges. 3.D. Maintenance Restrictions: During the maintenance period, access to the source code, site, or project will be restricted to the involved parties. If the client assigns or involves a third party in the project, W3 Dream Solutions will not be liable for any resulting damage and reserves the right to terminate maintenance services. Paid amounts are non-refundable. 3.E. Additional Work During Maintenance: Any additional work requested during the maintenance period will be treated as a new contract, separate from the existing maintenance agreement.

4. Software Warranty:

W3 Dream Solutions warrants that its software will perform in accordance with its user documentation when properly installed and operated on the intended hardware or equipment. The warranty period aligns with the maintenance period. Any defects identified within the warranty period will be resolved at no cost to the client. However, the warranty does not cover improper usage of the software or issues caused by modifications or third-party integrations undertaken by the client.

5. Hardware Warranty:

All hardware products supplied by W3 Dream Solutions come with a limited warranty, starting from the date of the invoice and ending on the last day of the warranty term. The warranty covers material, design, and manufacturing defects.

6. Support:

Support services are available to clients who have paid applicable fees. Support terms are governed by order forms, statements of work, contracts, or other documentation. Clients can request support by emailing support@adwestdigital.com. Response times are typically 3-5 hours but may extend to 1-2 working days in certain cases.

7. Project Delivery:

Deliverables, functionalities, and project requirements are outlined in the Scope of Work/Technical Specifications document, reviewed and approved by both parties. Any change to deliverables, requirements, or functionality must be submitted in writing and agreed upon by both parties. Clients must clearly communicate all requirements during the project’s initial phase. Any subsequent changes will be treated as additional development and charged accordingly.

8. Domain Name:

8.A. Domain Name RegistrationW3 Dream Solutions registers domain names on behalf of clients, but the ownership and control remain with the client. Client contact details are used for registration. Clients should keep their domain access credentials confidential.
8.B. Domain Renewal: Clients are responsible for renewing domain names before expiry. W3 Dream Solutions may send reminders, but the client must remain proactive. Failure to renew may result in the loss of the domain.

9. Payment Refund:

Refunds are processed in accordance with W3 Dream Solutions’s refund policy. Refunds may take up to 15-20 working days. Refund eligibility scenarios include: Cancellation within 24 hours (before work starts) – 90% of the payment is refunded, with a 10% cancellation fee applied.
Cancellation after work has started – No refund.
Cancellation after project completion – No refund.
Design dissatisfaction – No refund, as the design is agreed upon before work starts.
Project delay from W3 Dream Solutions’s side – 50% of the paid amount may be refunded.
Extra payment made by the client – Full refund.
Client’s change of plan – No refund.
Important: The scenarios mentioned above are based on a standard project and contract. Actual payment and refund terms may vary depending on the specific nature of the project. We encourage our clients to discuss these terms and ensure they are included in the contract proposal documents.

10. Cancellation:

Clients may request a project or contract cancellation by submitting a formal request via email. Cancellation and refunds are processed as per the company's refund and cancellation policies.

11. Technology/Programming:

W3 Dream Solutions selects technologies and platforms that are best suited for client requirements and development ease. Clients may specify preferred technologies during the project’s initial discussions. If no specific preference is stated, W3 Dream Solutions will select a suitable platform to ensure project success.

12. Framework:

W3 Dream Solutions uses industry-leading frameworks for application development. The framework choice depends on the project’s requirements and development best practices. Clients may request specific frameworks during initial discussions. If no preference is stated, W3 Dream Solutions will select the framework best suited to meet project goals.

13. Additional Work/Enhancements:

Tasks, pages, functionalities, or deliverables not included in the original contract are considered additional work/enhancements. This additional work requires a separate agreement and is not linked to the existing contract. Costs and timelines for additional work will be determined in a new proposal.

14. Server/Hosting:

W3 Dream Solutions facilitates hosting services through third-party providers such as AWS and GoDaddy. While W3 Dream Solutions manages the setup and maintenance of the hosting process, the client has the right to choose their own hosting provider. W3 Dream Solutions is not responsible for data loss, cyber-attacks, or server-related issues, as the servers are managed by third-party vendors.

15. Hacking/Cracking:

W3 Dream Solutions prioritizes application security but cannot guarantee protection against cyber-attacks, hacking, or malware. Clients are encouraged to adopt additional security measures as needed. W3 Dream Solutions’s responsibility is limited to addressing issues within its control.

16. Project Deadline:

W3 Dream Solutions is committed to delivering projects and products within the deadlines agreed upon with clients. We provide an estimated deadline for each contract, which is documented in the contractual agreement, memorandum of understanding (MOU), or proposal prior to project initiation. We are responsible for adhering to these deadlines. However, delays may occur under certain conditions, and W3 Dream Solutions will not be held liable for delays arising from the following circumstances: Third-Party Delays: If project completion is dependent on third-party responses, resources, or cooperation, W3 Dream Solutions will not be responsible for any resulting delays. Client Response Delays: If a client’s delayed response impacts project progress, W3 Dream Solutions will not be liable for any corresponding delays. Non-Working Days: Deadlines are calculated based on two possible criteria: “Within XX Days” (inclusive of non-working days) and “Within XX Working Days” (excluding non-working days). Non-working days include Saturdays, Sundays, company holidays, government-declared holidays, natural calamities, political disruptions (“Bandh”), and power or connectivity issues. Delays resulting from non-working days in the “Within XX Working Days” arrangement are not the responsibility of W3 Dream Solutions. Technical Complexities: IT projects often involve multiple technologies, frameworks, and research & development (R&D) activities. If technical issues arise that require unanticipated R&D, delays may occur. W3 Dream Solutions will not be held responsible for delays caused by technical complications.

17. Cyber Crime / Phishing:

While W3 Dream Solutions takes reasonable precautions to protect its products and applications from hacking, malware, and other cyber threats, it is not a cybersecurity company. In the event of data loss, security breaches, or hacking incidents, W3 Dream Solutions will not be held liable for any resulting damages or data loss.

18. Data / Information:

W3 Dream Solutions takes appropriate measures to safeguard data from unauthorized access, alteration, disclosure, or destruction. We utilize encryption, firewalls, and other security practices to protect data. However, no security system is impenetrable. We cannot guarantee complete security for data transmitted over the internet. Clients are encouraged to back up data periodically. If data loss occurs due to hacking, phishing, or unauthorized access, W3 Dream Solutions will not be liable. W3 Dream Solutions’s role is to develop software applications for clients who manage their own data, including customer, employee, buyer, and seller information. While we may have access to this data during development, W3 Dream Solutions will not be responsible for maintaining or securing this data post-delivery. Clients are advised to maintain regular backups.

19. Third-Party Products / Services:

W3 Dream Solutions may utilize third-party products or services during project execution. However, W3 Dream Solutions does not control third-party products, their internal processes, or operational procedures. Therefore, we make no warranties, express or implied, regarding third-party products, software, hardware, or content. Any issues related to third-party products must be addressed directly with the respective providers.

20. Deliverables:

All deliverables, including requirements, functionalities, and technology platforms, are specified in the formal contract or memorandum of understanding (MOU) signed between W3 Dream Solutions and the client. This MOU can be a hard copy, email, or other written communication. Verbal agreements are not considered binding for deliverables.

21. Project / Service Auction Policy:

W3 Dream Solutions reserves the right to auction off any project, product, or service if the client fails to settle outstanding payments after project completion. Clients are granted a reasonable period to make payments, but if no response is received, W3 Dream Solutions has the right to sell the project to a third party. No refunds will be issued in such cases.

22. Service Tax Policy:

Service Tax & GST: All services provided by W3 Dream Solutions are subject to a Goods and Services Tax (GST) rate of 18% unless otherwise specified in the applicable regulations. Variable Tax Rates: Tax rates for different services may vary according to government regulations. Such changes will be communicated to the client and applied accordingly. GST Exemptions: Where applicable, GST exemptions will be automatically applied in accordance with government guidelines. Regulatory Compliance: W3 Dream Solutions complies with all applicable tax laws and regulations. The company reserves the right to update its tax terms to reflect changes in the law. Invoice & Payment: All applicable taxes are included in the invoice. Clients are required to remit full payment by the invoice due date.

23. Product / Service Renewal:

Service renewals follow a structured process: Invoices are generated 7 days before the service renewal date. A 7-day grace period is granted for payment. If payment is not made within the grace period, W3 Dream Solutions reserves the right to suspend the service. If payment is not made within 15 days of suspension, the service will be terminated.

24. Communication:

W3 Dream Solutions believes in professional and respectful communication with its clients. Clients are expected to maintain polite communication with our team. If a client engages in abusive or disrespectful behavior, W3 Dream Solutions reserves the right to issue a warning. Repeated violations may result in suspension of services and a financial penalty.

25. Copyright:

W3 Dream Solutions retains full copyright over its products and services. This includes, but is not limited to, logos, content, trademarks, and any intellectual property developed by W3 Dream Solutions. All third-party trademarks and copyrights remain the property of their respective owners.

26. Website Terms & Conditions:

Intellectual Property: All logos, brands, marks, headings, labels, names, and signatures on this website are the property of W3 Dream Solutions or its affiliates. Any unauthorized reproduction, display, or distribution of these materials is strictly prohibited. Acceptable Website Use: Visitors are prohibited from violating the security of the website, including accessing unauthorized data, testing network vulnerabilities, sending malware, or disrupting website operations. Violations may result in civil or criminal liability. Indemnity: Users agree to indemnify and hold harmless W3 Dream Solutions, its officers, directors, and employees from any claims or damages resulting from violations of these terms. Limitation of Liability: W3 Dream Solutions shall not be liable for any direct, indirect, incidental, or consequential damages resulting from the use of the website or its services.

27. Policy Changes:

W3 Dream Solutions reserves the right to amend its Terms of Service at any time. Changes will be communicated to clients, but the company’s use of any information collected will remain consistent with the policy in place at the time of collection. Grievance Redressal Mechanism Clients may report grievances, complaints, or policy breaches to W3 Dream Solutions’s Grievance Officer via written communication or email, signed with an electronic signature.
